Baskit Terms of Service

Baskit provides software and tools that help individuals, groups, organizations, and businesses collect information, organize and coordinate activities, manage participation, and communicate with others.

The Services may include tools for creating and sharing forms, collecting responses, managing sign-ups and participation, coordinating people and activities, sending communications, and other related features.

These Terms apply to your use of the Services unless you and Baskit have entered into a separate written agreement that expressly supersedes these Terms.

You must be legally capable of entering into a binding agreement to use the Services.

Certain features may require you to create an account. You agree to provide accurate and complete information and to keep your account information current.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity that occurs through your account. You must promptly notify us if you believe your account has been accessed or used without authorization.

If you create or administer an account on behalf of a business, organization, group, or other entity, you are responsible for managing access to that account and ensuring that authorized users comply with these Terms.

Subject to these Terms, Baskit grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for your personal, organizational, or business purposes. You may use Baskit to collect information, coordinate people or activities, manage sign-ups or participation, communicate with others, and use other functionality made available through the Services.

You agree not to:

• use the Services in violation of applicable law or regulation;
• use the Services to infringe, misappropriate, or violate the rights of another person or entity;
• collect, use, or share information through the Services without any permissions or legal basis required by applicable law;
• impersonate another person or misrepresent your identity or affiliation;
• use the Services to send unlawful, deceptive, fraudulent, abusive, harassing, or unsolicited communications;
• attempt to gain unauthorized access to the Services, another user's account, or related systems;
• interfere with or disrupt the operation, security, or integrity of the Services;
• introduce malware, malicious code, or other harmful material;
• reverse engineer, decompile, or attempt to discover the source code of the Services except where such restrictions are prohibited by law;
• scrape, copy, or systematically extract data from the Services except as expressly permitted by Baskit; or
• resell, sublicense, or commercially exploit the Services except as expressly authorized by Baskit.

We may investigate suspected violations and may suspend or terminate access when reasonably necessary to protect Baskit, our users, third parties, or the Services.

The Services may allow you to create forms, questions, sign-ups, messages, events, pages, or other materials and to submit, upload, collect, transmit, or otherwise make information and content available through Baskit (collectively, “User Content”).

You retain your rights in User Content that you create or provide.

You grant Baskit the rights necessary to host, process, transmit, display, reproduce, and otherwise use User Content as necessary to provide, maintain, secure, support, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.

You are responsible for the User Content you create, submit, collect, or share through Baskit and for ensuring that you have the rights and permissions necessary to use that content through the Services.

Baskit may allow you to request or collect information from other people, including through forms, sign-ups, registrations, responses, or other interactions.

If you use Baskit to collect information from others, you are responsible for:

• requesting only information you are permitted to collect;
• providing any notices or obtaining any consents required by applicable law;
• using the information you collect appropriately and lawfully; and
• protecting information you access or export from Baskit.

Baskit provides the tools used to facilitate these interactions but is not responsible for how individual users, groups, organizations, or businesses use information they collect through the Services.

Baskit may provide features that allow users to communicate with participants, respondents, invitees, customers, members, attendees, or other people.

If you use these features, you are responsible for the communications you send and for complying with applicable laws and regulations relating to electronic communications, marketing, consent, and messaging.

You may not use Baskit to send spam, fraudulent communications, harassment, or messages that violate applicable law or the rights of others.

Our collection and use of personal information are described in our Privacy Policy.

Depending on how you use Baskit, you may collect or have access to personal information belonging to other people. You are responsible for ensuring that your collection and use of that information complies with applicable privacy and data protection laws. When Baskit processes personal information on behalf of a business or organization, additional data protection terms may apply.

The Services may allow you to connect to or interact with third-party products, platforms, applications, websites, or services (“Third-Party Services”).

Your use of Third-Party Services is governed by the terms and privacy practices of the applicable third party. Baskit does not control and is not responsible for Third-Party Services.

When you authorize an integration, you instruct us to exchange information with the applicable Third-Party Service as necessary to provide the integration.

We may modify, suspend, or discontinue an integration if the relevant Third-Party Service changes or becomes unavailable.

Baskit currently offers access to the Services without requiring payment for the features generally available to users.

We may introduce paid plans, premium features, subscriptions, or other paid Services in the future.

Before you purchase a paid Service, we will provide the applicable pricing and material payment terms. You will not be charged for a paid Service unless you choose to purchase it and provide any authorization required for the transaction.

If we offer subscriptions or automatically renewing Services in the future, applicable pricing, billing frequency, renewal, and cancellation terms will be disclosed when you subscribe.

Payments may be processed by third-party payment processors. Baskit does not store your full payment card information when payment information is handled directly by our payment processor. Your use of third-party payment services may also be subject to the applicable provider's terms and privacy policy.

Introducing paid Services in the future will not, by itself, require you to purchase them unless otherwise clearly communicated in connection with a particular feature, plan, or Service.

The Services, including their software, design, interfaces, technology, documentation, trademarks, logos, and content provided by Baskit, are owned by Baskit or its licensors and are protected by intellectual property and other laws.

Except for the limited rights expressly granted under these Terms, no rights in the Services are granted to you.

If you provide feedback, suggestions, or ideas regarding Baskit or the Services, you grant Baskit the right to use that feedback without restriction or obligation to you.

In connection with the Services, you may receive non-public information about Baskit or the Services that a reasonable person would understand to be confidential.

You agree to use such information only as necessary to use the Services and to take reasonable measures to prevent unauthorized disclosure.

These obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known to you without a confidentiality obligation, or was independently developed without use of confidential information.

We continually develop and improve Baskit. We may add, modify, or remove features from time to time.

We do not guarantee that every feature or integration will always be available or that the Services will operate without interruption or error.

We may temporarily suspend access to some or all of the Services for maintenance, security, legal, or operational reasons.

From time to time, Baskit may provide beta, preview, experimental, or early access features.

These features may be incomplete, change substantially, or be discontinued without notice. Unless otherwise agreed, beta and early access features are provided “as is” and may be subject to additional terms or limitations.

You may stop using the Services at any time.

We may suspend or terminate your access to the Services if you materially violate these Terms, create a security or legal risk, misuse the Services, or use the Services in a manner that could harm Baskit, our users, or third parties.

Where reasonably practicable, we will provide notice and an opportunity to remedy a violation before termination.

Upon termination, your right to access and use the Services will end. Provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

Baskit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Baskit does not warrant that the Services will be uninterrupted, error-free, secure, or suitable for every purpose.

Certain features may use artificial intelligence to generate or suggest content based on information you provide. You are responsible for reviewing generated content before using or sharing it.

Baskit is not responsible for the accuracy, completeness, legality, or reliability of information or content submitted, collected, generated, or shared through the Services.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

To the maximum extent permitted by law, Baskit and its affiliates, officers, directors, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, Baskit's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Baskit for the Services during the 12 months before the event giving rise to the claim or (b) $100.

The limitations in this section apply regardless of the legal theory of liability and even if Baskit has been advised of the possibility of such damages.

Some jurisdictions do not permit certain limitations of liability, so these limitations may not apply to you in their entirety.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Baskit and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from or related to:

• your User Content;
• information you collect, use, or share through the Services;
• your communications with other users or participants;
• your use of the Services in violation of these Terms;
• your violation of applicable law; or
• your infringement or violation of another party's rights.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in the State of Delaware, and you and Baskit consent to the personal jurisdiction of those courts.

We may update these Terms from time to time.

If we make material changes, we will provide notice as appropriate, such as by posting the updated Terms, updating the “Last Updated” date, or notifying account holders.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

These Terms constitute the agreement between you and Baskit regarding the Services unless a separate written agreement between you and Baskit applies.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign your rights or obligations under these Terms without Baskit's prior written consent. Baskit may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
